This End-User License Agreement (“EULA”) is a legally binding agreement between you (“Licensee”) and VivalaType (“Licensor”) for the use of the font software (“Font”). By downloading, installing, or using the Font, you agree to be bound by the terms and conditions of this EULA.
1. License Grant
The Licensor grants you a non-exclusive, non-transferable, revocable license to use the Font free of charge, subject to the terms of this EULA. This license permits you to:
- Install and use the Font on an unlimited number of computers owned or controlled by you.
- Create graphics, logos, and printed materials for personal and commercial projects.
- Embed the Font within digital documents (e.g., PDF) for viewing and printing purposes, as long as the Font data cannot be extracted.
2. Prohibitions
You are expressly prohibited from:
- Selling, distributing, or sublicensing the Font, in whole or in part, to any third party.
- Modifying, adapting, reverse-engineering, decompiling, or altering the Font’s file structure or code.
- Using the Font in web font formats (e.g., .woff, .woff2) without prior written permission from the Licensor.
- Claiming ownership or authorship of the Font. The copyright and all intellectual property rights in the Font remain with the Licensor.
3. Intellectual Property
The Font is protected by copyright laws and international treaties. All rights, including intellectual property rights, in the Font are and shall remain the exclusive property of the Licensor. This EULA does not grant you any ownership rights to the Font.
4. Disclaimer of Warranties
The Font is provided “as is” and without any warranty of any kind, whether express or implied. The Licensor does not warrant that the Font will be uninterrupted, error-free, or suitable for your specific purposes.
5. Limitation of Liability
In no event shall the Licensor be liable for any damages, including but not limited to direct, indirect, special, incidental, or consequential damages, arising out of the use or inability to use the Font, even if the Licensor has been advised of the possibility of such damages.
6. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Font and delete all copies of the Font from your computer systems.
7. Governing Law
This EULA shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
